  1. Introduction<\/b><\/li>\n<\/ol>\n

    This Client Agreement (\u201cAgreement\u201d) is entered into by and between Barron Consulting (\u201cConsultant\u201d) and the Client (\u201cClient\u201d). This Agreement outlines the terms and conditions under which Consultant will provide consulting services to the Client. All personal information and data provided under this Agreement will be handled in accordance with Barron Consulting\u2019s Privacy Policy and all applicable laws.<\/span><\/p>\n

    1. Scope of Services<\/b><\/li>\n<\/ol>\n

      Consultant agrees to provide business planning, grant consulting, strategic advisory, loan packaging, and related services as outlined in the proposal or agreed-upon service package. Any additional services must be agreed upon in writing.<\/span><\/p>\n

      1. Term and Termination<\/b><\/li>\n<\/ol>\n

        This Agreement remains in effect until completion of services unless earlier terminated by either party with seven (7) days\u2019 written notice sent to the designated email address in Section 13. In the event of termination, the Client shall pay for all services rendered up to the termination date. \u201cDelivered\u201d is defined as when final documents, reports, or agreed deliverables have been sent to the Client\u2019s designated email or shared via secure link.<\/span><\/p>\n

        1. Fees and Payment<\/b><\/li>\n<\/ol>\n

          Client agrees to pay Consultant the fees outlined in the proposal or invoice. Payment is due upon receipt unless otherwise specified in writing. Fees for services are non-refundable once deliverables, as defined in Section 3, are provided. Consultant may suspend services for non-payment. All payments are processed securely via Stripe or approved payment provider.<\/span><\/p>\n

            \n
          1. Confidentiality and Data Protection<\/b><\/li>\n<\/ol>\n

            Both parties agree to maintain the confidentiality of proprietary or sensitive business information disclosed during the term of this Agreement. Consultant will manage all Client data in accordance with its Privacy Policy and applicable law. This obligation survives termination of this Agreement.<\/span><\/p>\n

            1. Disclaimer and Limitation of Liability<\/b><\/li>\n<\/ol>\n

              Consultant provides no guarantee of funding approval, financial results, or the outcome of funding applications. Decisions related to funding or third-party programs are made solely by those agencies. Consultant\u2019s liability for any claim shall not exceed the amount paid by Client for the applicable services. Consultant is not liable for any indirect, incidental, or consequential damages or for actions or decisions by third parties.<\/span><\/p>\n

                \n
              1. Intellectual Property<\/b><\/li>\n<\/ol>\n

                Consultant retains ownership of all templates, tools, and proprietary methods used. Client retains ownership of final deliverables and may use them for business or funding purposes.<\/span><\/p>\n

                1. Compliance with Laws<\/b><\/li>\n<\/ol>\n

                  Both parties agree to comply with all applicable federal and provincial laws and regulations, including but not limited to PIPEDA and the Ontario Consumer Protection Act.<\/span><\/p>\n

                    \n
                  1. Dispute Resolution<\/b><\/li>\n<\/ol>\n

                    In the event of any dispute, both parties agree to attempt resolution through good-faith negotiation. If resolution cannot be reached, either party may pursue mediation or arbitration in Ontario.<\/span><\/p>\n

                      \n
                    1. Force Majeure<\/b><\/li>\n<\/ol>\n

                      Neither party shall be liable for any failure or delay in performing obligations due to unforeseen events beyond reasonable control, including but not limited to natural disasters, pandemics, acts of government, or disruptions in communication networks.<\/span><\/p>\n

                        \n
                      1. Electronic Signatures<\/b><\/li>\n<\/ol>\n

                        Signatures to this Agreement may be executed electronically and shall have the same legal force as original signatures.<\/span><\/p>\n

                          \n
                        1. Entire Agreement and Amendments<\/b><\/li>\n<\/ol>\n

                          This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Amendments must be made in writing and signed (physically or electronically) by both parties.<\/span><\/p>\n

                            \n
                          1. Notices<\/b><\/li>\n<\/ol>\n

                            Any notices required under this Agreement shall be delivered by email to the addresses provided below, or such other address as a party may provide in writing:<\/span><\/p>\n
